About the Company
This role is for a well-funded deep tech startup (AI and biotech).
✏️What You’ll Do
• Draft, review, and negotiate VC/PE transaction documents, including:
• Shareholders’ Agreements (SHA)
• Share Purchase Agreements (SPA)
• Convertible instruments, option pool agreements, bylaws, and articles of association
• Advise on corporate governance, structuring, and shareholder matters across multiple jurisdictions (US, UK, and worldwide).
• Support equity investments, acquisitions, and joint ventures from due diligence to closing.
• Draft and review commercial contracts.
• Provide legal advice on labour and employment matters.
• Act as in-house general counsel, ensuring compliance and protecting the company’s commercial and strategic interests.
✏️What We’re Looking For
• 4–9 years of professional experience in corporate law, M&A, or venture capital transactions.
• Extensive experience with equity investments, VC/PE deals, and corporate structuring.
• Strong transactional drafting and negotiation skills.
• Background in а top-tier or boutique law firm or a VC / startup / scale-up environment as a corporate counsel.
• Familiarity with US/UK legal frameworks.
• Experience working on cross-border transactions.
• Experience in deep tech & biotech environment would be a plus.
• Preferred location: Europe 
• Excellent command of English and Russian
• Comfortable working remotely with international stakeholders in a fast-paced, innovation-driven setting.
